KAEDIX Deal Evaluation Platform — Terms of Use & Beta Participation Agreement

1. Acceptance of Terms

By accessing or using the KAEDIX Deal Evaluation Platform ("Platform"), you ("User") agree to be bound by these Terms of Use, including the Beta Participation Agreement, Confidentiality obligations, and Data Handling provisions set forth below. If you do not agree to all terms, you may not access or use the Platform. Continued use constitutes your ongoing acceptance.

2. Beta Program — Nature of Access

The Platform is currently in beta. By using it, you acknowledge and agree that:

  • The Platform is a pre-release product and may contain bugs, errors, or incomplete features.

  • Features, outputs, workflows, and interfaces are subject to change or removal without notice.

  • Beta access is granted at KAEDIX's sole discretion and may be revoked at any time.

  • KAEDIX makes no commitment that the Platform will be available continuously, that data will be preserved indefinitely, or that the beta version will transition to a production release in its current form.

  • Your use during beta is expected to include providing feedback, which KAEDIX may use to improve the Platform without any obligation or compensation to you.

3. Beta Participation Agreement

By participating in the beta program, you agree to:

  • Use the Platform only for legitimate internal real estate deal evaluation purposes.

  • Report bugs, errors, or unexpected behavior to KAEDIX promptly via the designated feedback channel.

  • Not share access credentials, session links, or platform outputs with individuals who have not been expressly authorized by KAEDIX.

  • Understand that beta participation does not create an employment, partnership, agency, or contractor relationship between you and KAEDIX.

  • Acknowledge that KAEDIX may terminate beta access at any time, with or without cause, and without liability.

4. Confidentiality & Non-Disclosure

4.1 Platform Confidentiality

The Platform — including its interface, algorithms, data models, AI outputs, workflows, and underlying technology — constitutes proprietary and confidential information of KAEDIX, Inc. ("Confidential Information"). You agree to:

  • Hold all Confidential Information in strict confidence.

  • Not disclose, reproduce, share, publish, or transmit any Confidential Information to any third party without prior written consent from KAEDIX.

  • Not use Confidential Information for any purpose other than authorized use of the Platform.

  • Immediately notify KAEDIX if you become aware of any unauthorized disclosure or use.

4.2 Survival

Your confidentiality obligations survive the termination of your access to the Platform indefinitely, or for a minimum period of three (3) years from the date of last access, whichever is longer.

4.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Platform may be used by KAEDIX freely and without restriction or compensation. Such feedback does not constitute Confidential Information of the User.

5. Data You Enter — Ownership & Handling

5.1 Your Data

You retain ownership of any property data, deal figures, client-related information, or other content you input into the Platform ("User Data"). KAEDIX does not claim ownership of User Data.

KAEDIX does, however, retain the following for internal research and platform improvement purposes:

  • Evaluation reports generated when you submit a Go/No-Go decision through the Platform, including the associated property inputs and AI-generated conclusions.

  • Aggregate evaluation metrics, such as the total number of deal evaluations conducted per user or per session, used solely for research, usage analysis, and product improvement.

No personally identifiable client information is retained beyond what you explicitly enter, and retained reports are accessible only to authorized KAEDIX personnel. This data will not be sold or shared with third parties.

5.2 License to KAEDIX

By entering User Data into the Platform, you grant KAEDIX a limited, non-exclusive license to process, store, and use that data solely for the purpose of operating the Platform, generating outputs for your use, and improving Platform functionality during the beta period. KAEDIX will not sell or share your User Data with third parties for marketing or commercial purposes.

5.3 Sensitive Data — Your Responsibility

You are responsible for ensuring that any data you enter into the Platform complies with applicable laws, including privacy regulations. Specifically:

  • Do not enter personally identifiable information (PII) of clients, buyers, or sellers beyond what is strictly necessary for deal evaluation.

  • Do not enter data that is subject to confidentiality obligations you owe to third parties unless you have the right to do so.

  • KAEDIX is not responsible for the consequences of unauthorized or improper data entry by Users.

6. Data Retention Policy

6.1 During Beta

User Data entered during the beta period will be retained for operational and platform improvement purposes for the duration of the beta program and up to 90 days following the conclusion of the beta program, unless a shorter or longer period is required by law or agreed to in writing.

6.2 Post-Beta Transition

Upon conclusion of the beta program:

  • KAEDIX will notify authorized users of the transition timeline with reasonable advance notice.

  • Users will be given the opportunity to export or retrieve their data prior to any deletion.

  • Data that is not retrieved within the designated export window will be permanently deleted from KAEDIX systems, except where retention is required by applicable law.

6.3 Deletion Requests

You may request deletion of your User Data at any time by contacting KAEDIX at support@kaedix.com. KAEDIX will process deletion requests within 30 days, subject to any legal hold or regulatory retention requirements.

6.4 Backups

Residual copies of User Data may remain in encrypted backup systems following a deletion request before being fully purged from all systems.

7. Security

KAEDIX implements reasonable administrative, technical, and physical safeguards to protect User Data from unauthorized access, disclosure, or loss. However, no system is completely secure. KAEDIX does not guarantee the security of any data transmitted to or stored within the Platform. Users are responsible for maintaining the confidentiality of their authentication credentials and should immediately report any suspected unauthorized access to support@kaedix.com.

8. No Professional Advice

All outputs generated by the Platform — including valuations, MAO calculations, renovation estimates, comp analyses, and AI-generated conclusions — are for informational and internal decision-support purposes only. They do not constitute legal, financial, tax, appraisal, or investment advice. Users are solely responsible for independently verifying all information and consulting qualified professionals before acting on any Platform output.

9. AI-Generated Content Disclaimer

The Platform uses artificial intelligence to generate analyses and reports. AI-generated content may contain errors, omissions, or inaccuracies. KAEDIX does not warrant the accuracy or completeness of any AI-generated output. All such content should be reviewed by a qualified professional before being relied upon, shared externally, or used in client-facing materials.

10. Intellectual Property

All software, interfaces, data models, algorithms, workflows, and content comprising the Platform are the exclusive intellectual property of KAEDIX, Inc. No rights are transferred to Users beyond the limited license to use the Platform for authorized internal purposes during the term of access.

11. Prohibited Conduct

You agree not to:

  • Reverse-engineer, scrape, decompile, or otherwise extract proprietary components of the Platform

  • Use the Platform for any unlawful purpose or in violation of any applicable regulation

  • Attempt to access other users' data, sessions, or credentials

  • Introduce malicious code, bots, or unauthorized automated scripts

  • Share, sublicense, or resell access to the Platform

  • Use Platform outputs in external marketing, client-facing reports, or public communications without KAEDIX's prior written approval

12. Termination of Access

KAEDIX reserves the right to suspend or permanently revoke access at any time, with or without notice, if a User is found to be in violation of these Terms or is no longer authorized. Upon termination, your license to use the Platform immediately ceases. Sections 4 (Confidentiality), 5 (Data), 6 (Retention), 10 (IP), and 13 (Liability) survive termination.

13. Limitation of Liability

To the maximum extent permitted by applicable law, KAEDIX, its officers, employees, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of or inability to use the Platform, including any decisions made based on Platform outputs. KAEDIX's total aggregate liability to any User shall not exceed $100 USD.

14. Indemnification

You agree to indemnify and hold harmless KAEDIX, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Platform, violation of these Terms, or infringement of any third-party rights.

15. Modifications

KAEDIX reserves the right to update these Terms at any time. Users will be notified of material changes via the Platform or by email. Continued use of the Platform after the effective date of any revision constitutes acceptance of the updated Terms.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA), seated in Maricopa County, Arizona, unless both parties agree otherwise in writing. Each party waives the right to participate in a class action lawsuit or class-wide arbitration.

17. Entire Agreement

These Terms constitute the entire agreement between you and KAEDIX with respect to the Platform and supersede any prior understandings, representations, or agreements relating to the same subject matter.
